Ellite Platform Access Agreement

Jurisdiction: New South Wales, Australia.

Effective from 10 August 2025

This Platform Access Agreement (the “Agreement” or “PAA”) is entered into by and between Ellite Taxi Service (Ellite), a sole trader company incorporated under the laws of Australia in 2025 and you (the “Driver” or “you”), an individual or entity seeking to provide rideshare services through Ellite’s Platform. This Agreement governs your access to and use of Ellite’s Platform for the provision of Point to Point (P2P) rideshare services in Australia.

Your access to Ellite’s Platform is also governed by the applicable terms found on our website, including without limitation, Ellite’s Community Guidelines, Privacy Policy, Safety Policy, Teens Safety Policy and other applicable Ellite’s standards and policies (including, withoutlimitation, Australian Consumer Law) any other agreements you have with us including those related to how you choose to interactwith Ellite’s Platform, the services you choose to provide and where you chose to provide them (collectively with this PAA, this “Agreement”), which are incorporated by reference into this Agreement. By accepting this Agreement, you confirm that you have read, understand and accept the provisions of this Agreement and intend to be bound by this Agreement. This Agreement is effective as of the dateand time you accept it.

Access to Ellite’s technology platform includes access to Ellite’s technology application “Ellite Driver App” that, amongst other things, facilitates Point to Point Service between you and Rider; as well as websites and all other associated services, including payment and support services, provided by Ellite, its affiliates or third parties (collectively, our “Platform”).

  1. Definitions

1.1 “Platform” refers to the Ellite’s technology platform, including the Ellite Driver App, websites, and associated services (e.g., payment processing, customer support) provided by Ellite, its affiliates, or third parties, which facilitates P2P rideshare services between Drivers and Rider.

1.2 “Driver” refers to you, the individual or entity providing rideshare services through the Platform, operating as an independent contractor unless otherwise determined by applicable law.

1.3 “Rider” refers to an individual who requests and receives rideshare services through the Platform.

1.4 “Rideshare Data” refers to any data, including trip details, ratings, and analytics, generated or transmitted through the Platform, excluding personally identifiable information unless specified in the Privacy Policy.

1.5 “Confidential Information” refers to any proprietary or sensitive information disclosed by one party to the other, including Rideshare Data, business strategies, or operational details, that is marked as confidential or reasonably should be considered confidential and shall not be disclosed or made public without Ellite’s express consent or approval.

1.6 “Service Fee” refers to the fee charged by Ellite to the Driver for each completed trip, as outlined in this Agreement or as updated via the Platform.

1.7 “Point-to-Point Transport” refers to the provision of passenger transport services as defined under the Point to Point Transport (Taxis and Hire Vehicles) Act 2016 (NSW).

  1. Scope of the Agreement

This Agreement governs your access to and use of the Ellite Platform to provide Point to Point (P2P) rideshare services to Rider in Australia. You acknowledge that:

  1. Ellite is a technology platform provider, not a transportation provider. You are solely responsible for providing rideshare services to Rider.
  2. You are an independent contractor, not an employee, agent, or partner of Ellite, unless otherwise determined by law.
  3. You have the flexibility to choose when, where, and how often you provide rideshare services, subject to compliance with this Agreement and applicable regulations.

2.1 Contracting Relationship

The relationship between the parties is solely as independent business enterprises, each of whom operates a separate and distinct business enterprise that provides a service outside the usual course of business of the other. This is not an employment agreement and you are not an employee of Ellite. You confirm the existence and nature of that contractual relationship each time you access Ellite’s Platform. We are not hiring or engaging you to provide any service; you are engaging us to provide you access to Ellite’s Platform. Nothing in this Agreement creates, will create, or is intended to create, any employment, partnership, stakeholder, joint venture, franchise, sales representative or agent relationship between you and us. The parties do not share in any profits or losses. You have no authority to make or accept any offers or representations on our behalf. You are not our agent and you have no authority to act on Ellite’s behalf in any capacity, shape, form or degree at anytime.

  1. Driver Eligibility and Requirements

To access and use the Platform, you must meet and maintain the following requirements:

3.1 Licensing and Accreditation:

  1. Be at least 20 years of age (21 years of age in New South Wales).
  2. Have access to a vehicle that meets Ellite’s vehicle requirements.
  3. Hold a valid full driver licence in your state.
  4. Have held an unrestricted driver licence in any Australian State or Territory for at least 12 months. In NSW, the current requirement is 12 months on an unrestricted Australian licence within the last 48 months (effective until 1 April 2026, unless revoked earlier). After this, the requirement will revert to 12 months within the last 24 months.
  5. Provide all the necessary documents required in your state or territory and in accordance with the type of vehicle you will be driving (taxi).
  6. Be listed as an insured driver for the vehicle you plan to drive.
  7. Hold a valid NSW Driver Authority issued by the Point to Point Transport Commissioner, as required under the Point to Point Transport (Taxis and Hire Vehicles) Regulation 2017 (NSW).
  8. Maintain a valid Australian driver’s license appropriate for the vehicle class used.
  9. Provide proof of private hire vehicle accreditation.

3.2 Vehicle Requirements:

  1. Use a vehicle that complies with NSW safety, registration, and inspection requirements, as outlined by Transport for NSW and the Point to Point Transport Commissioner.
  2. Ensure the vehicle is covered by Compulsory Third Party (CTP) insurance and comprehensive insurance that includes commercial rideshare use.

3.3 Compliance with Laws:

  1. Comply with all applicable laws, including the Point to Point Transport (Taxis and Hire Vehicles) Act 2016 (NSW), Australian Consumer Law, and tax obligations (e.g., GST registration if annual turnover exceeds the threshold).
  2. Maintain accurate records of income and expenses for tax purposes, as required by the Australian Taxation Office (ATO).
  3. Disability Inclusion 2014 Act.
  4. Disability Discrimination Act 1992 (Cth).
  5. Age Discrimination Act 2004 (Cth).

3.4 Account Registration:

  1. Provide current, complete, and accurate information during the registration process, including your name, contact details, and ABN.
  2. Maintain the security of your account credentials and notify Ellite immediately of any unauthorized use or security breach.
  3. Your Choice to Provide Point to Point (P2P) Services

Ellite does not, and has no right to, direct or control you. Subject to Ellite’s Platform availability, you decide when, where and whether (a) you want to offer P2P Service facilitated by Ellite’s Platform and (b) you want to accept, decline, ignore or cancel a Ride (defined below) request; provided, in each case, that you agree not to discriminate against any potential Rider in violation of the Requirements (defined below). Subject to your compliance with this Agreement, you are not required to accept any minimum number of Rides in order to access Ellite’s Platform and it is entirely your choice whether to provide P2P Service to Rider directly, using Ellite’s Platform, or using any other method to connect with Rider, including, but not limited to other platforms and applications in addition to, or instead of, ours. You understand, however, that your Rider’ experiences with your Rides, as determined by Rider input, may affect your ability to access Ellite’s Platform or provide Rides. Your access to Ellite’s Platform is also subject to your quality of service including but not limited to your vehicle’s reasonable cleanliness, odor free and safety at the time of providing transportation services to Rider.

  1. Access to the Platform

4.1 License: Subject to compliance with this Agreement, Rideshare grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for providing rideshare services to Rider.

4.2 Restrictions: You agree not to:

  1. Copy, modify, reverse engineer, or create derivative works of the Platform or any Rideshare Data.
  2. Share your account credentials with third parties or allow unauthorized access to the Platform.
  3. Use the Platform in a manner that violates applicable laws, regulations, or this Agreement.

4.3 Platform Availability: The Platform is provided “as is” and “as available.” Rideshare does not guarantee uninterrupted or error-free access and is not liable for any disruptions or defects.

4.4 Ellite Platform

While using Ellite Driver App, you may receive lead generation and other technology-based services that enable those operating independent business enterprises like you to provide P2P Service requested by Rider (“Rides”). Subject to the terms and conditions of this Agreement, Ellite hereby grants you a non-exclusive, non-transferable, non-sublicensable, non-assignable license, during the term of this Agreement, to use Ellite’s Platform (including the Driver App) solely for the purpose of providing Rides and accessing services associated with providing Rides.

  1. To provide Rides you must create and register an account. All information you provide to us must be accurate, current and complete and you will maintain the accuracy and completeness of such information during the term of this Agreement. Unless otherwise permitted by Ellite in writing, you agree to only possess one account for providing Rides. You are responsible for all activity conducted on your account. For account security and Rider safety purposes, you agree not to share or allow anyone to use your login credentials or other personal information used in connection with your account, including but not limited to photos of yourself, to access our Platform. If you think anyone has obtained improper access to your account, login credentials or personal information, you are required to notify us and to change your password immediately so that we may take appropriate steps to secure your account. You agree that Ellite is not responsible for any losses arising from your sharing of account credentials with a Third Party, including without limitation phishing.
  2. You represent, warrant, and agree that you have all required authority to accept and be bound by this Agreement. If you are accepting this Agreement on behalf of your company, entity, or organization, you represent and warrant that you are an authorized representative of that company, entity, or organization with the authority to bind such party to this Agreement.

4.5 Background Checks and Licensing

  1. During your account registration on our Platform we will collect and may verify certain information about you and the vehicles you use to provide rides.
  2. You will also be required to pass various background, driving record and other checks both prior to the first time you access our Platform and from time to time thereafter during the term of this Agreement; these checks may be facilitated by third parties. You hereby authorize and instruct us to provide copies of such checks to insurance companies, relevant regulators and/or other governmental authorities as needed for safety or other reasons.
  3. You agree that your vehicle will be properly registered, licensed and suitable to provide rides in your region. You represent that at all times during the provision of any rides your vehicle will be in your lawful possession with valid authority to use your vehicle to provide rides in your region. You agree that your vehicle will be in safe operating condition, consistent with safety and maintenance standards for a vehicle of its type in the P2P Service industry. You agree to monitor for and repair any parts that are recalled by your vehicle’s manufacturer (as well as anything else the Requirements applicable to your particular Region may require).

4.6 Accepting Ride Requests

  1. Ride requests may appear in the Driver App and you may attempt to accept, decline or ignore them. Accepting a ride request creates a direct business relationship between you and your Rider in accordance with the terms of the transportation service the Rider has requested through our Platform. The mechanism for accepting or declining rides may vary depending on your location and the type of ride-request you accept. You acknowledge upon acceptance of a ride request, you may incur Ellite fees as described in an applicable fare addendum to this PAA.
  1. You will choose the most effective, efficient, and safe manner to reach the destinations associated with a ride. Any navigational directions offered in the Driver App are offered for your convenience only; you have no obligation to follow such navigational directions. You agree to transport Rider, or their guests, directly to their specified destination, as directed by the applicable person, without unauthorized interruption or unauthorized stops.
  1. You may receive Rider information, including approximate pickup location, and you agree that your Rider may also be given identifying information about you, including your first full name, face photo, location, vehicle information, and certain other information you have voluntarily provided through the Driver App (collectively, “User Information”). Without a Rider’s consent, you agree to not contact any Rider or otherwise use any of the Rider’s User Information except solely in connection with the provision of rides to that Rider. You agree to treat all Rider User Information as Confidential Information received by you under this Agreement. You acknowledge that your violation of your confidentiality obligations may also violate certain laws and could result in civil or criminal penalties. At the time of picking up the Rider from their location, you will need to verify the ride by requesting the Rider to provide you with the One Time Password (OTP) to enter in the Driver App to allow you to start the ride. Each ride OTP is useable only once. If the OTP is not entered in the Driver App and you decided to transport the Rider, it is your own responsibility to pay Ellite’s fees including the any Third Party charges. In such events Ellite is not responsible nor liable to pay you the ride fares or any losses you incurred resulting from your actions.
  1. Driver Responsibilities

5.1 Service Provision:

  1. Provide rideshare services in a safe, professional, and courteous manner, adhering to Ellite’s Community Guidelines, Safey Policy, Teens Safety Policy, Privacy Policy and all applicable transportation regulations and laws.
  2. Accept or decline trip requests at your discretion, subject to non-discrimination policies including those stated in 3.3.
  3. Ensure timely and accurate communication with Rider via the Platform.

5.2 Compliance with NSW Regulations:

  1. Pay any applicable levies, such as the NSW passenger service levy (approximately $1.2 per trip, subject to change), to support the point-to-point transport industry.
  2. Maintain compliance with all safety standards and operational requirements set by the Point to Point Transport Commissioner.

5.3 Tax Obligations:

  1. Register for GST if your annual turnover exceeds the ATO threshold (currently $75,000 for most businesses) and charge GST on fares, as rideshare services are classified as “taxi travel” by the ATO.
  2. Declare all earnings and maintain records for tax purposes.

5.4 Insurance:

  1. Maintain adequate CTP and comprehensive insurance covering commercial rideshare use, as personal vehicle insurance may not suffice. Verify specific requirements with Transport for NSW.
  1. Use of Ellite Branded Materials
  2. Except to the extent necessary to comply with applicable law, you are not required to use, wear or display Ellite’s name or logo on your vehicle or clothing, or to use signaling lights, stickers, decals, or other such materials displaying Ellite’s name or logo (collectively “Ellite Branded Materials”).
  1. Your authorized display of Ellite Branded Materials may signify to Rider that your P2P Service is facilitated by Ellite Platform. Ellite grants you a limited license to use, wear, or display Ellite Branded Materials provided directly to you by Ellite when providing rides solely for the purpose of identifying yourself and your vehicle to Rider as someone selling P2P Service facilitated by our Platform. You agree not to (i) use, wear, or display Ellite Branded Materials that are not Authorized Ellite Branded Materials (ii) purchase, accept, offer to sell, sell or otherwise transfer Ellite Branded Materials that are not Authorized Ellite Branded Materials or (iii) offer to sell or sell, or otherwise transfer Authorized Ellite Branded Materials, without Ellite’s prior written permission, or (iv) display Ellite Branded Materials when you are not accessing the Platform.
  1. The parties expressly agree that your access to, or use of, Ellite Branded Materials, whether or not authorized, does not imply an employment or other similar relationship between you and Ellite. You further agree not to represent yourself as our employee, representative or agent for any purpose or otherwise misrepresent your relationship with us.
  2. You agree to destroy and discard any Ellite Branded Materials if your account is deactivated and/or if you lose access to the Platform.
  1. Crashes and Criminal Offenses

For the purpose of assisting us with our compliance and insurance obligations, you agree to notify Ellite within 24 hours and provide all reasonable information relating to any incident including any crash involving your vehicle that occurs during your provision of a ride and you agree to cooperate with any investigation and attempted resolution of such incident. Additionally, you agree to notify us within 24 hours if you are arrested for, charged with, or convicted of a criminal offense, for Platform eligibility consideration.

  1. Rating

Your Rider may be asked to comment on your services.  These comments can include star or other ratings and other feedback (collectively, “Ratings”), which we ask all parties to provide in good faith. Ratings are not confidential and you hereby authorize our use, distribution and display of your Ratings (and Ratings about you) as provided in Ellite Privacy Policy, without attribution or further approval. We have no obligation to verify ratings or their accuracy, and may remove them from our Platform in accordance with the standards in Ellite Community Guidelines.

  1. Location Based Technology Services

Your device geo-location information is required for the proper functioning of our Platform, and you agree to not take any action to manipulate or falsify your device geo-location. You grant us the irrevocable right to obtain your geo-location information and to share your location with third parties, including your Rider, who will see the approximate location of your vehicle in the Rider App before and during their ride. We may not and will not use this information to attempt to supervise, direct, or control you or your provision of ride services.

You agree that we may contact you by email, telephone or text message (including by an automatic telephone dialing system) at any of the phone numbers provided by you, or on your behalf, in connection with your account. You also understand that you may opt out of receiving text messages from us at any time, either by replying “STOP” or texting the word “STOP” to Ellite Support Number using the mobile device that is receiving the messages, or by contacting Ellite at info@ellite.com.au. Notwithstanding the foregoing, we may also contact you by any of the above means, including by SMS, in case of suspected fraud or unlawful activity by your or on your account.

10.Your Vehicle Liability Insurance for P2P Service

You will maintain vehicle liability insurance on your vehicle that provides protection against bodily injury and property damage to third parties at coverage levels that satisfy the minimum requirements to operate a vehicle on public roads wherever you use your vehicle. You must be listed as an insured or an insured or driver on your vehicle liability insurance. You will provide us with a copy of the insurance policy, policy declarations, proof of insurance identification card and proof of premium payment for your policy, as well as copies of the same upon renewal. You will notify us in writing immediately if the policy you have is cancelled.

  1. You understand that while you are providing P2P Service your personal vehicle insurance policy may not afford liability, comprehensive, collision, medical payments, personal injury protection, uninsured motorist, underinsured motorist, or other coverage for you. If you have any questions or concerns about the scope or applicability of your own insurance coverage, it is your responsibility to resolve them with your insurer.
  1. You will maintain workers’ compensation insurance if it is required by applicable law. If allowed by applicable law, you can insure yourself against industrial injuries by maintaining occupational accident insurance in place of workers’ compensation insurance (and it is at your own risk if you decide not to).
  1. We may, in our sole discretion, choose to maintain auto insurance related to your rides, but we are not required to provide you with any specific coverage for loss to you or your vehicle, unless we specifically describe it in an addendum to this PAA. We can change, reduce or cancel insurance that is maintained by us, if any, at any time without notice to you or authorization from you.
  1. Fees and Payments

6.1 Service Fee: Ellite charges a Service Fee for each completed trip, as outlined in Schedule A or as updated via the Platform. The fee is deducted from the fare paid by the Rider at the time of booking/requesting a ride service.

6.2 Fare Structure: Fares are determined by Ellite based on factors such as distance, time, and demand. Dynamic pricing (surge pricing) may apply during periods of high demand, with Rider receiving an upfront price before booking.

6.3 Payment Processing:

  1. Ellite collects payments from Rider and remits your portion (fare minus Service Fee, Passenger Service Levy and any Third Party charges) to your designated bank account, typically on a weekly basis.
  2. You are responsible for any bank fees associated with payment processing.

6.4 Taxes: You are responsible for all taxes, including GST, applicable to your earnings. Ellite may provide tax-related documentation but is not responsible for your tax compliance.

  • Eligibility for Instant Pay

You must have a valid and active debit card issued in your name to use Instant Pay. Your ability to use Instant Pay is dependent upon your debit card’s acceptance of fast funds; not all debit cards are eligible to accept fast funds, and the card’s issuing bank may choose at any time to disable the acceptance of fast funds or enable restrictions. Certain users may not be eligible for Instant Pay, including users that access our vehicle solutions programs, users who are members of a fleet, and those who are subject to garnishments. Your use of Instant Pay may be subject to additional restrictions and fees.

6.6 Availability of Instant Pay

We are not able to ensure that all payments are deposited instantly. The speed at which you receive payments will depend on your bank and other factors. If your bank rejects a payment, or it fails in our system, the entire amount available for cashout in your account will be routed to your regular bank account and you will receive the payment typically 1-3 business days later. Any Instant Pay funds not cashed out by 4AM (Local time) on Mondays, or the time we identify, which may be subject to change, will be routed to your regular bank account. If you do not have access to Instant Pay, you will continue to receive payments as described in this addendum via direct deposit, provided we have your correct banking information. We are not responsible for any fees from your bank in association with your use of Instant Pay. We reserve the right to block access to Instant Pay at any time for any reason, including for improper use of our Platform, account investigation, deactivation, or further review of rides completed.

  • Third Party Provider

The Instant Pay functionality is facilitated by a Third Party provider of payments services. By using Instant Pay, you are subject to any additional terms and conditions for payment imposed by the Third Party provider, which we recommend you review.

  1. Confidentiality

7.1 Confidential Information: You agree to treat all Ellite Data, Platform analytics, and other proprietary information as Confidential Information. You will not disclose or use such information except as necessary to perform your obligations under this Agreement.

7.2 Obligations:

  1. Maintain the confidentiality of Ellite’s Confidential Information and disclose it only to authorized personnel bound by equivalent confidentiality obligations.
  2. Return or destroy Confidential Information upon termination of this Agreement or at Ellite’s request, subject to applicable law.

7.3 Remedies: Unauthorized disclosure of Confidential Information may result in irreparable harm, entitling Ellite to seek immediate equitable relief in addition to other remedies.

  1. Privacy

8.1 Data Collection: Ellite collects and processes personal information as described in the Ellite Privacy Policy, including trip data, location information, and Rider feedback.

8.2 Prohibited Actions: You must not collect, store, or disclose personally identifiable information about Rider beyond what is necessary to provide rideshare services or as permitted by law.

8.3 Feedback: Any suggestions or feedback you provide about the Platform may be used by Ellite without restriction or compensation.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Ellite, its affiliates, and their respective officers, directors, and employees from any claims, liabilities, damages, or expenses (including legal fees) arising from:

  1. Your breach of this Agreement.
  2. Your provision of rideshare services, including any accidents, injuries, or property damage.
  3. Your violation of applicable laws or regulations.
  4. Any claims related to your interactions with Rider or third parties.
  1. Termination

10.1 By You: You may terminate this Agreement at any time by ceasing to use the Platform upon 7 days notice to Ellite.

10.2 By Ellite: Ellite may suspend or terminate your access to the Platform immediately for:

  1. Breach of this Agreement or Community Guidelines, Privacy Policy, Safety Policy.
  2. Non-compliance with NSW regulations or licensing requirements.
  3. Conduct that harms Ellite’s reputation or operations.
  4. Any other reason at Ellite’s discretion, with or without notice.

10.3 Effect of Termination: Upon termination, you must immediately cease using the Platform, return or destroy any Confidential Information, Ellite Brand Materials, logo, and settle any outstanding payments.

  1. Disclaimers
  2. The Platform is provided “as is” and “as available” without warranties of any kind, including as to accuracy, reliability, or availability.
  3. Ellite is not liable for any losses, damages, or injuries arising from your use of the Platform or provision of rideshare services, except as required by law.
  1. Limitation of Liability

To the extent permitted by law, Ellite’s total liability for any claims arising under this Agreement is limited to the Service Fees paid to Ellite in the six months preceding the claim. Ellite is not liable for indirect, consequential, or incidental damages, including lost profits or business opportunities.

  1. Governing Law and Dispute Resolution

13.1 Governing Law: This Agreement is governed by the laws of New South Wales, Australia, without regard to conflict of law principles.

13.2 Dispute Resolution:

  1. Any disputes arising under this Agreement will be resolved through good-faith negotiations.
  2. If unresolved, disputes will be submitted to mediation in Sydney, NSW, before pursuing legal action.
  3. Any legal action must be brought in the courts of New South Wales.
  1. Miscellaneous

14.1 Entire Agreement: This Agreement, including any schedules and referenced policies, constitutes the entire agreement between you and Ellite, superseding any prior agreements.

14.2 Amendments: Ellite may amend this Agreement at any time by providing notice via the Platform or email. Your continued use of the Platform constitutes acceptance of the amended terms.

14.3 Assignment: You may not assign this Agreement without Ellite’s prior written consent. Ellite may assign this Agreement to an affiliate or successor.

14.4 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

14.5 No Waiver: Ellite’s failure to enforce any provision of this Agreement does not constitute a waiver of that provision.

Schedule A: Ellite Service Fees

  1. Base Service Fee: AUD $1.59 for each completed trip, subject to change with notice and will be deducted from your earnings. Ellite Service fee is a fixed flat rate, meaning it is not percentage based calculations.
  2. Third Party Charge: To facilitate payment from the Rider, Ellite uses a Third Pary to process these transactions, for which the Third Party charges a fee, which will be deducted from your earnings. Ellite does not have any control or influence over their charges and is not responsible for the Third Party charges logic or calculations. Third Party charges is calculated on the total amount paid by the Rider at the time of booking a ride. The Third Party charges are subject to change without prior notice and without your authorization.
  3. Additional Fees: Any applicable levies (e.g., NSW passenger service levy) or transaction fees will be deducted from your earnings.
  4. Intellectual Property

Ellite reserves all rights not expressly granted in this Agreement. The Driver App, our Platform, and all data gathered through our Platform, including all intellectual property rights therein (the “Platform IP”), are and remain Ellite property and/or that of our licensors, as applicable. Neither this Agreement nor your use of Ellite’s or our licensors’ company names, logos, products or service names, trademarks, service marks, trade dress, other indicia of ownership, or copyrights (“Ellite Names, Marks, or Works”) or the Platform IP conveys or grants to you any rights in or related to the Platform IP, or related intellectual property rights, including Ellite’s Names, Marks, or Works, except for the limited license granted above. You shall not, and shall not allow any other party to:

  2. reverse engineer or attempt to extract the source code of our software, except as allowed under law; use, display, or manipulate any of Ellite Names, Marks, or Works for any purpose other than to provide rides;
  3. create or register any (i) businesses, (ii) URLs, (iii) domain names, (iv) software application names or titles, or (v) social media handles or profiles that include Ellite Names, Marks, or Works or any confusingly or substantially similar mark, name, title, or work;
  4. use Ellite Names, Marks, or Works as your social media profile picture or wallpaper;
  5. purchase keywords (including, but not limited to Google Ad-Words) that contain any Ellite Names, Marks, or Works;
  6. apply to register, reference, use, copy, and/or claim ownership in Ellite’s Names, Marks, or Works, or in any confusingly or substantially similar name, mark, title, or work, in any manner for any purposes, alone or in combination with other letters, punctuation, words, symbols, designs, and/or any creative works, except as may be permitted in the limited license granted above;
  7. cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any part of our Platform or data; or (i) aggregate Ellite’s data with competitors’.
  1. Third Party Services

Ellite may permit third parties to offer their services to users of our Platform. Third Party services may be subject to additional terms (including pricing) that apply between you and the party providing such services. If you choose to access the Third Party services you understand that the providers of the Third Party services are solely responsible for liabilities arising in connection with the access and use of such Third Party services. Whilst Ellite may allow users to access such services through our Platform and we may collect information about our users’ use of such services, we may not investigate, monitor or check such Third Party services for safety, accuracy or completeness.  You acknowledge that Ellite is not responsible nor liable for any losses you may incur resulting from your access or use of such Third Pary services.

These Community Guidelines outline the standards of behaviour for riders and drivers using our platform, including our mobile app, website, or other services (collectively, the “Services”). By using our Services, you agree to follow these guidelines. Failure to comply may result in warnings, temporary suspensions, or permanent removal from our platform.

We expect all users to foster a welcoming environment:

  1. Be Courteous:Treat drivers, riders, and support staff with kindness and respect. Avoid discriminatory language or behaviour based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
  2. No Harassment:Verbal, physical, or sexual harassment is strictly prohibited. This includes inappropriate comments, gestures, or unwanted contact.  Knives, daggers, weapons, firearms strictly prohibited in the car.
  3. Respect Preferences:Honor requests from riders or drivers, such as preferred routes (within reason) or conversation levels, when safe and feasible.
  4. Prioritize Safety

Safety is our top priority:

  1. Follow Traffic Laws:Drivers must comply with all local traffic regulations, including speed limits, seatbelt requirements, and distracted driving laws.
  2. No Impaired Driving or Riding:Drivers and riders must not use the Services while under the influence of alcohol, drugs, or any substance that impairs judgment or ability.
  3. Vehicle Safety:Drivers must maintain their vehicles in safe, roadworthy condition, with regular inspections, valid insurance, and required permits.
  4. Report Issues Promptly:Immediately report accidents, unsafe behaviour, or emergencies through the app’s support feature or local authorities.
  5. Maintain a Clean and Comfortable Environment
  6. Keep Vehicles Clean:Drivers should ensure their vehicles are clean, odour-free, and free of clutter. Riders should avoid leaving trash or damaging the vehicle.
  7. No Smoking or Vaping:Smoking, vaping, or using e-cigarettes is not allowed during rides.
  8. Limit Personal Items:Riders should bring only items that fit safely in the vehicle and do not interfere with the driver’s operation.
  9. Follow Ride-Sharing Etiquette
  10. Be Punctual:Riders should be ready at the pick-up location on time, and drivers should arrive promptly within the estimated time.
  11. Accurate Information:Provide accurate pick-up and drop-off locations. Riders should ensure their contact details are up to date for communication.
  12. No Unauthorized Passengers or Stops:Riders must not bring additional passengers beyond the booked capacity or request unscheduled stops without driver consent.
  13. Pets and Service Animals:Riders may bring service animals as required by law. For non-service pets, confirm with the driver in advance and follow any pet policies.

We investigate reports of guideline violations promptly and fairly. Depending on the severity, consequences may include:

  3. Permanent account deactivation for serious or repeated violations. We reserve the right to take action to protect the safety and integrity of our community.
